These terms govern use of the Sparkon Consulting website at
https://sparkonconsulting.com and the Sparkon Consulting application registered
with Google and other service providers (together, the "Service"). By using the
Service you agree to these terms.

Who we are

Sparkon Consulting is a consulting business operating in the United States.

What the Service is

The Service consists of this website and an internal automation application
that connects to advertising and business accounts owned by Sparkon
Consulting. The application is used by Sparkon staff to manage Sparkon's own
marketing. It is not a product sold to the public and does not provide customer
accounts.

Consulting services, where engaged, are governed by a separate written
agreement between Sparkon Consulting and the client. Where that agreement and
these terms conflict, that agreement controls.

Permitted use

You may use the Service only for lawful purposes. You agree not to:

- access or attempt to access any account, data, or system you are not
authorised to use;
- interfere with, disrupt, overload, or probe the Service or its infrastructure;
- copy, scrape, or redistribute content from the Service for commercial use
without written permission;
- use the Service to send unsolicited messages or to violate the advertising
policies of any platform we connect to.

Access to the application is restricted to authorised Sparkon administrators.
Authorisation may be withdrawn at any time.

Third-party platforms

The application connects to third-party platforms, including Google, Microsoft,
and Meta. Use of those platforms remains subject to their own terms and
policies. We are not responsible for the availability, accuracy, or conduct of
any third-party platform, and an interruption at a third party may interrupt
the Service.

Intellectual property

The website, its content, and the application are owned by Sparkon Consulting
and are protected by applicable intellectual property law. These terms grant no
licence to our trademarks, branding, or source code.

Content you supply to us remains yours. You grant us only the limited
permission needed to provide the Service.

Fees

The website and the application are not sold and carry no fee. Consulting fees,
where applicable, are set in the separate written agreement described above.

No warranty

The Service is provided "as is" and "as available", without warranty of any
kind, whether express or implied, including any implied warranty of
merchantability, fitness for a particular purpose, or non-infringement. We do
not warrant that the Service will be uninterrupted, timely, secure, or
error-free.

Nothing on the website is legal, financial, tax, or compliance advice. Do not
act on it without professional advice specific to your circumstances.

Limitation of liability

To the maximum extent permitted by law, Sparkon Consulting is not liable for
any indirect, incidental, special, consequential, exemplary, or punitive
damages, or for any loss of profits, revenue, data, goodwill, or business
opportunity, arising from or relating to the Service.

To the maximum extent permitted by law, our total aggregate liability arising
from or relating to the Service is limited to the greater of (a) the amount you
paid us for the Service in the twelve months before the event giving rise to
the claim, or (b) one hundred US dollars (US$100).

Some jurisdictions do not allow these exclusions, so some may not apply to you.

Indemnity

You agree to indemnify and hold harmless Sparkon Consulting against any claim,
loss, or expense arising from your misuse of the Service or your breach of
these terms.

Suspension and termination

We may suspend or terminate access to the Service at any time, with or without
notice, including where we believe these terms have been breached. The
sections covering intellectual property, no warranty, limitation of liability,
indemnity, and governing law survive termination.

Changes to these terms

We may update these terms. The date at the top of this page shows when they
last changed. Continued use of the Service after a change means you accept the
updated terms.

Governing law

These terms are governed by the laws of the United States and of the state in
which Sparkon Consulting is established, without regard to conflict of law
rules. Disputes will be brought in the courts of that state, and you consent to
their jurisdiction.
